These terms apply when a school ("the school", "you") uses the school fee and results management system provided by Osubula Talks Solutions ("we", "us"). By using the system, the school agrees to them. The person who accepts them for the school confirms that they are allowed to do so.
We provide the system in two forms. The hosted version runs on our servers at app.osubulatalks.com and is paid for as a subscription. The desktop version is installed on a computer at the school and works with a licence. The price, plan and payment terms for each school are those we agree with it in writing or show on its invoice.
The data entered into the system belongs to the school. We do not claim ownership of it. We use it only to provide the system, as described in our Privacy Policy. The school is responsible for having a lawful basis to record its students', parents' and staff data, and for using the system in line with Uganda's Data Protection and Privacy Act, 2019.
We work to keep the hosted version available, but we do not promise it will never be interrupted. Maintenance, internet problems and events outside our control can cause downtime. The desktop version is available as long as the school's computer and local network are running.
The school must not misuse the system. This means no attempts to break into it or to reach another school's data, no unlawful use, no uploading of harmful code, no copying or reverse engineering of the software, and no use of the system to harm students or others.
The software, its design and the Osubula Talks Solutions name and logo belong to us. The school receives a right to use the system for its own school during the subscription or licence period. This does not give the school ownership of the software.
We improve the system over time. On the hosted version, updates apply automatically. For the desktop version, the school installs new versions when we provide them. We may stop supporting very old versions of the desktop software.
The school pays the fees agreed for its plan or licence on time. For the hosted version, we may suspend access if a subscription stays unpaid after we have given notice, and restore it when the school pays. The school's data is kept during a suspension.
The school may stop using the hosted version at any time. A school that wants its data returned can ask us, and we will provide it in a usable form. We may end or suspend a school's access if it seriously breaches these terms. How long we keep data after the end is set out in the Privacy Policy.
We provide the system with reasonable care, but we cannot promise that it is free of errors or that it fits every need. The school should check important figures, such as fee balances and results, before relying on them. To the extent the law allows, we are not responsible for indirect losses, for loss of data on the school's own equipment or caused by the school's own actions, or for losses that happen because of events outside our control. Our total responsibility for any claim is limited to the fees the school paid us for the system in the 12 months before the claim. Nothing in these terms limits a responsibility that cannot be limited by law.
We may change these terms. We will change the date above and, for an important change, tell schools in the system or by email. A school that keeps using the system after a change accepts the new terms.
These terms are governed by the laws of Uganda. We will try to settle any dispute with the school by discussion first. Contact: osubuladan@gmail.com.
